2.8.[I] heeft de eerste [F] -producten begin 2012 gelanceerd op een grote kantoorartikelenbeurs in [J] . In een email van 2 februari 2012 heeft [I] aan belanghebbende geschreven:
“the introduction of our new “ [K] ”-file (item-no. [00000] ) was really a very good success at [J] .
We are considering to hire a special salesman who will introduce this item to retailers and wholesalers. Key-account will be served through our [L] sales office.
Our investment in introduction and acquisition will amount 60.000 € per year.
Our short term target: 200.000 pcs./medium-term 500.000 pcs. p.a.
We act in the conviction that [00000] is suitable to become the new generation of span-folders.
Regarding this very expensive way of domestic and international acquisitions+sales we need a firm basis to work on.
That’s why we suggest a contract in written form referring to item [00000] made from cardboard of plastics comprehending
- our exclusive right of production + distribution in Europe / sublicenses grantes through [I] GmbH to thrid parties included
- our right of production + distribution worldwide
- your right of profit sharing / fee 0,15 € p. pc. sold (plastic) or 0,08 € p. pc. sold (cardboard) or 20% of sublicenses net proceeds
- pay-out of fee after compensation of our expenses for German patent
- duration of the contract 10 years
- our right to opt 2x for prolongation further 10 years through our unilateral declaration
- your obligation to advocate any violation of patent rights, alternatively empowerment of [I] GmbH to act in your place”
