2.17Bij brief van 23 februari 2022 heeft GW UK aan [naam verweerder] bericht dat zij voornemens is hem op staande voet te ontslaan als werknemer dan wel statutair bestuurder van RRF en de vier zustervennootschappen op basis van de volgende ontslaggronden:
“ In summary, the following reasons exist for your intended instant dismissals – both considered
separately and in conjunction:
1. Your role in the irregularities with invoices and/or rosters that were sent to ProRail as alleged evidence of alleged damages incurred by RRF in order to try and claim additional compensations from ProRail for the Waalhaven Restriction;
2. Your role in communications with ProRail regarding the attempts on behalf of RRF to claim additional compensations for the Waalhaven Restriction;
3. Your role in communications with RRF's contractors, inter alia with regard to (i) strict instructions that were sent to them on behalf of RRF to include irregularities on their invoices if they wanted to have these paid, and (ii) a request for a meeting from one of RRF's contractors who claimed he had “to issue (invoices for shifts) while those days were not worked in that way”;
4. Your role in communications with the Shift-Planning Assistant, inter alia consisting of (i) instructing her to send strict instructions to RRF's contractors to include irregularities on their invoices if they wanted to have these paid, (ii) instructing her to manually amend rosters in order to have these match the invoices that were sent to ProRail in an attempt to claim additional compensations, (iii) denying her feeling that RRF was “cheating”, and (iv) pressurizing her to continue to amend rosters and/or have RRF's contractors include irregularities on their invoices in order to have these match the rosters in an attempt to claim additional compensations, although she no longer wanted to do that;
5. Your role in communications with the Manager Projects & Planning, inter alia in requesting approval for calculating what number of trains should be compensated by ProRail because of
the Waalhaven Restriction by multiplying the factual numbers by 2: “Now a week later, how
many extra shifts per day do we now deploy for the restriction? My proposal is then to keep this number x factor 2 from today and to pass this on as such to the contractors for invoicing and to include it in the claim? Agree?”;
6. Undesirable behavior internally and/or externally, inter alia consisting of:
(i) Creating a culture of fear within RRF, leading to the situation where some employees felt they could not go against you or the CEO without serious repercussions for themselves and some employees filed complaints that you did not take seriously;
(ii) Several other untrustworthy actions towards ProRail, such as (a) confirming higher numbers of trains that should be compensated due to the Waalhaven Restriction and accepting advance payment for these numbers, (b) confirming 37 identified trains by ProRail and requesting for payment although an advance payment for these trains was made already and you were aware of that, and (c) attempting to have the GM Operations “consciously adjust(...) documentation and/or e-mails afterwards” in order to try and have ProRail pay compensation due to the Waalhaven Restriction for out-of-scope trains as well;
(iii) Using documentation and/or calculations to third parties, such as – but not limited to – RRF's external accountant, from which can be derived that RRF deployed 20 extra shifts per week due to the Waalhaven Restriction, where this number in reality was only 8.7 according to the RailCube data.
7. Your lack of cooperation during the internal investigation performed by Sagiure and Trip, which investigation was the immediate result of allegations by ProRail of fraud and falsification by the Executive Board of RRF (for which it filed a police report that led to an investigation by the Public Prosecutions Department), inter alia by making mixed statements and demonstrably lying;
8. As a result of your aforesaid behavior, which is not consistent with the applicable GWI Code of Ethics and GWI Core Values, you have shown that you are no longer worthy of our trust.

specifically, but not limited to, paragraph 11.6.C of that report.”
Voorts is [naam verweerder] in die brief vrijgesteld van werkzaamheden en is hij uitgenodigd voor de aandeelhoudersvergaderingen van RRF en de vier zustervennootschappen op 11 maart 2022, alwaar het voorgenomen ontslagbesluit als agendapunt is opgenomen.
