2.6Borealis en Foruminvest hebben op 5 september 2019 een document ondertekend, genaamd “Lease Conditions Rotterdam – Hotel Ahoy” (hierna: de Lease Conditions). In de Lease Conditions staat onder meer vermeld:

The parties confirm the agreements made in the Lease Conditions below, which will be further elaborated in an ROZ Lease Agreement. Until the time of signing the ROZ Lease Agreement, the agreement in these Lease Conditions are binding on the parties.
1. Lessor Foruminvest B.V. (Chamber of Commerce no: [nummer01] ), represented by Mr. [naam05] , or one of its affiliates.
2. Lessee Borealis Hotel Group B.V. (Chamber of Commerce no: [nummer02] ) or an affiliate (i.e. SPV), with its registered office in Amsterdam, [postcode01] , [adres01] , represented by [bedrijf01] B.V., Mr. [naam06] .
3. Leased Property Hotel building with approx. 250 keys – to be developed by Lessor (all subjects to governmental permits) located on Ahoyplein ong. in Rotterdam, Cadastral known Charlois, section I number 1325 as further described in the sketch design attached as appendix I.

4. Operator Lessee will operate in the Leased Property a three star hotel of the brand “Hampton by Hilton”. Lessee will only use the Leased Property in accordance with the permit(s) granted.

8. Target date delivery to Lessee 3th quarter 2021 or so much earlier or later than the Leased Property delivery takes place. Exceeding date gives no right to claims of any kind towards Lessor.

9. Rent EUR 10.500,- per room per year excl. VAT, price level commencement date of the lease tob e paid by prepayment per month. If commencement date is after 1th September, rent will be indexed from that date until commencement date based on the ROZ agreement.

18. ROZ Lease Agreement Standard lease agreement of Lessor on the basis of ROZ model 7:290 (Dutch Civil Code) business space of 2012 with corresponding general provisions, based on present conditions. This is attached to the Lease Conditions as Annex II.
19 Conditions precedent a. Not (timely) obtaining by Lessor the irrevocable and unconditional permits (including zoning, building,…) for the realization of the Leased Property.
b. Not (timely) obtaining the necessary ownership of the land and buildings and other permissions and agreements under (financial) conditions acceptable to Lessor.
c. Not (temly) obtaining approval from the end investor on the Lease Conditions and the elaboration in the ROZ lease Agreement.
Only Lessor can appeal to these conditions precedent.

21. Long stop date If the construction of the Leased Property had nog started before 2024, Lessor and Lessee will together determine whether a delay can be accepted by “Hilton”. If no solution can be found and Lessor is not able to provide a solid timeframe to complete the Leased Property, Lessee had the one-time right to terminate this agreement without being obliged to pay any compensation to Lessor.”
