2.3.Het geschil heeft ertoe geleid dat partijen hebben onderhandeld over de wijze waarop en de voorwaarden waaronder (de romp van) het schip in onafgemaakte toestand wordt overgedragen door Groeneveldt aan Seawing. Op 1 mei 2024 hebben partijen daartoe een addendum op de Overeenkomst (hierna: het Addendum) gesloten. In het Addendum staat onder meer:

Article 4 Delivery conditions
4. Actual delivery and release of the ship before departure from the Yard's port by the Yardvzr: Groeneveldt]
to the Client[vzr: Seawing]
will only take place under and after fulfillment of the following conditions:
1. The parties agree that in general terms the starting point with regard to the delivery of the ship upon departure is: ‘as is, where is’, in connection with which the architectural, technical, legal, environmental and factual condition present at the time of signing this Addendum of the ship are accepted in all respects and unconditionally by the Client. The Yard does not provide any guarantees in this regard, except that the ownership thereof is delivered to the Client free of restrictions.
2. Bureau Veritas has determined in accordance with the Contract that Milestone 1, 2, 3, 4, 5, 9 and 10 have been reached with regard to the completion of the ship. Milestone 6, 7, 8, 11, 12 and 13 have not been reached and, as a result of the provisions of Articles 2 and 3, will no longer be reached by the Yard. This is accepted by the Client. The small hull damage upon launching was properly repaired by the Yard and this was determined to be binding by Bureau Veritas in accordance with the Contract. All Bureau Veritas reports are in the possession of the Client. The Yard hereby excludes any responsibility and liability for the unachieved Milestones from the date of signing and the Client accepts that and indemnifies the Yard in this regard.
3. The ship and its delivery in an unfinished state now exclusively form part of the Milestones reached in accordance with Article 4, sub 2, together with the purchased parts, insofar as stated in the Option 2 document that is attached asAppendix 2to this Addendum. All items ordered by the Yard according to Option 2 for the ship, which are not yet present and need to be provided, will be delivered to the Client or the successor shipbuilder designated by the Client, as soon as they arrive at the Yard. The Yard cooperates in the transition and takeover by the Client or the successor shipbuilder designated by the Client of all rights, contracts and engineering/design documents that belong to Option 2. In the event of a difference of opinion in this regard, Bureau Veritas will decide on the basis of this Addendum. The price increase of Hytec Pommec does not occur, so that the amount of Hytec Pommec in Option 2 is also final.
4. The Yard is not obliged to the Client to do more or differently than the foregoing. The ship and everything that belongs or will belong to it after the date of signing this Addendum is solely at the expense and risk of the Client. The Client will arrange appropriate insurance and transport after signing this Addendum.
5. The following due and payable invoices from the Yard will be paid in full by the Client to the Yard's bank account to the satisfaction of the Yard as follows:
Milestone 9 - Invoice no. 15 - 07-02-2024 € 324,250.00
Milestone 10 - Invoice no. 16 - 27-02-2024 € 324,500.00
These two invoices (Milestone 9 and 10), total€ 648.750,will be paid withinfive
daysaftersigningof thisAddendum by both parties.
6. Parties reached full agreement that after this payment of € 648.750 the Yard provides the engineering package of the ship and gives instructions to Bureau Veritas to give permission to the Portal in order Bureau Veritas to complete the work further with the Client without the Yard. The Yard will also besides provide the Client the documents below:
1- Statement from the Yard: VAT/ TAX / Export clearance document.
2- Statement from the Yard: Ownership of all project documents.
3- Statement form the Yard: Warranty of items and hull
4- List of procured items
7. After this the following due and payable Extra invoice from the Yard will be paid in full by the Client to the Yard's bank account to the satisfaction of the Yard as follows withinfive daysaftergiving instructions by the Yard to Bureau Veritasandproviding the 4 documents to the Client:

8. So in total the Client will pay (Milestone 9, 10 and Extra invoice as herefore mentioned) thetotal amountof€ 943,939.00to the Yard.(Appendix 3)
9. After payment of the total amount as stated in Article 4, sub 8, the Yard will immediately cancel the right of retention on the ship, of which the signing of this Addendum constitutes confirmation and the Yard will immediately cooperate in the smoothest possible transfer to the Client and departure of the ship from the port of the Yard, as soon as the Client makes any request.
5. After carrying out the above, the parties grant each other full and final discharge and declare that they have no further claims to make from each other based on the currently existing legal relationship.
