2..De feiten
Performance of Obligations of the Company[vzr: GrandVision]. The Company shall have performed and complied with all obligations required to be performed by it under the Support Agreement on or prior to the Closing Date;
provided,
that, this condition shall be deemed satisfied so long as any failure to perform or comply with such obligation does not constitute a material breach of the Support Agreement.”
Interim Period) and except as (i) required by Applicable Law or (ii) approved by the Purchaser in writing, which approval shall not be unreasonably withheld, conditioned or delayed and shall be obtained in compliance with antitrust law (including through the Purchaser’s “clean team” if required), or (iii) expressly contemplated by the Transaction Agreements, the business of the Group [vzr: GrandVision and its Subsidiaries] shall be conducted in the ordinary and usual course of business consistent with past practice (the
Ordinary Course), and, to the extent consistent therewith, the Company shall, and shall cause the Group Companies to, use their respective commercially reasonable efforts to preserve intact their business organizations and their material business relations with any Governmental Authorities, customers, suppliers, distributors, creditors, lessors, business associates and employees (provided that in no event shall this require any Group Company [vzr: an individual member of the Group] to pay any additional compensation or confer any additional benefits (i) on any employee, or (ii) any other contracting party, it would not otherwise be required to pay).

Governmental Approvals. All Required Antitrust Approvals shall have expired or been made or received, as the case may be.”
Antitrust Remedy”);

that, Purchaser shall not be required to consent to, undertake or agree to undertake any Antitrust Remedies (other than the Optional Carve-Out Sales) which in Purchaser’s reasonable judgment (A) materially adversely affect the value of the combination of the Purchaser Group and the Group, taken as a whole, (B) materially affect the strategic rationale of the Sale of Control, or (C) otherwise impose an unreasonable burden on Purchaser or the Company.
Cooperation. (…) Seller shall use its reasonable efforts to furnish to Purchaser such necessary and available information and assistance as Purchaser may reasonably request in connection with the preparation of the required filings.
Information. Seller and Purchaser shall each, upon reasonable request by the other, furnish the other with all information available to such Party concerning itself and its Affiliates (other than the Group Companies), directors, officers and shareholders and such other matters to the extent it is necessary or advisable in connection with any statement, filing, notice or application made by or on behalf of Purchaser, Seller or the Company to any Governmental Authority (including, for the avoidance of doubt, any Government Antitrust Entity) in connection with the Sale of Control;
provided,
that, unless a “clean team” process is agreed by the Parties and supervised by outside counsel, neither Party shall be required to provide the other Party with highly confidential information or business secrets without first redacting such information or making the information available only to the outside counsel of such other Party and not disclosed by such outside counsel to employees, officers or directors of such Party.
Relation to Support Agreement. Other than as expressly contemplated herein, nothing in this Article IV imposes an obligation on Seller or any of its directors, officers, employees or shareholders to procure support, information or any other action from any Group Company or provide to Purchaser information concerning any Group Company. Purchaser shall seek such support and information in respect of any Group Company from the Company in accordance with the terms and conditions of the Support Agreement.”
2.3 Cooperation with respect to Antitrust Clearances and other necessary regulatory filings and approvals

- Employee cost reduction, by taking advantage of various governmental programmes such as ‘kurzarbeit’ in Germany or equivalents that exist in many of our markets, by implementing a vacancy stop and by reduction of the temporary workforce to the maximum extent;
- Marketing cost reduction, reflecting that marketing that includes a “call to action” is not effective whilst the vast majority of our network is closed, whilst continuing some marketing to maintain brand-awareness and to support our on-line offering;
- Capex [vzr: capital expenditure] reduction, reflecting that new store opening should be postponed until the relevant stores can be operational and pausing non-crucial investments, whilst maintaining our store network in normal operating condition and repair. In addition, all non-critical business transformation projects have been paused, at the right relevant milestone for each, to allow speedy re-activation post COVID-19;
- Lease payments reductions, and lease payment deferrals as further specified below; and
- Extension of payment terms for key suppliers, as further specified below.

EssilorLuxottica expects to receive the required information without further delay.

5..De beslissing
€ 157,00 aan salaris advocaat, te vermeerderen, onder de voorwaarde dat EssiLux niet binnen veertien dagen na aanschrijving aan het vonnis heeft voldaan en er vervolgens betekening van de uitspraak heeft plaatsgevonden, met een bedrag van € 82,00 aan salaris advocaat en de explootkosten van betekening van de uitspraak,
