cannotsupply all the units [eiser] has ordered now is due to the coronavirus pandemic. (…) We obviously did not reserve any units for [eiser] during the time we were not supplying [eiser] as (i) we did not know if and when [eiser] would make any payments and (ii) we did not foresee a worldwide pandemic. I would like to remind you that we have been discussing this subject and YME has been requesting [eiser] to pay (part of) the outstanding amount since long before the coronavirus was an issue. (…)
any of the units(not “all the units” as you suggested…), except few marine motor outboard. The Corona virus implication and [eiser] order was known well before we reach the settlement agreement – please explain why did you confirm the agreement if you knew that you cannot fulfill it? (…)
EUR 1,476,351. This exceeds the agreed credit limit of EUR 1,250,000. We have on several occasions respectfully requested [eiser] to honor its contract (..) and pay the difference between the outstanding amount and the maximum credit limit. Despite its pride in its professionality, [eiser] has failed to do so. Consequently YME hereby terminates the credit limit agreement in accordance with the warning in our e-mail of 15 June 2020 (..). We request you to repay the total outstanding amount in full by 31 December 2020. Failure to do so will give YME no other choice but to commence legal action.”
Following our conversation regarding the regulation in [land] – distribution between Vehicle Manufacturer & Distributor should be for 3 years – there is no regulation define 7 years.”Hieruit volgt dat [eiser] voorafgaand aan het sluiten van de overeenkomst wel degelijk invloed heeft gehad op de duur daarvan en dat artikel 17 van de distributieovereenkomst geen standaardbepaling was die eenzijdig door Yamaha aan [eiser] was opgelegd.
niet langerdan 5 jaar na de ingangsdatum van de overeenkomst geldig zal zijn.
Betaling van een vergoeding aan [eiser] op basis van het non-concurrentiebeding, ligt dan ook niet voor de hand.
