Bij brief van 4 december 2014 heeft [verweerder] gereageerd op een eerder tussen hem en Smart Carrier Services gehouden gesprek over de uitvoering van de werkzaamheden. In de brief is opgenomen, voor zover hier van belang:
“
Thank you for your time on Wednesday the 3rd of December to discuss the open concerns I have with my positioning within Smart Carriers BV. I would have written this letter sooner but as you will read below I was positively and professionally expecting the issues to be resolved. As discussed, I understand that many things have been evolving since I arrived into the company in March 2014. But I need to strongly express my concerns, mainly related to me not being in my position of C.O.O (Chief Operating Officer) which is the position you hired me for back in December 2013 and the position that my wife and I left our prevlous careers and home in Italy for, after being head hunted by yourself and [naam 3]. I understand that we have had many changes within the company in recent weeks with the departure of my direct line manager and CEO [naam 3], and the arrival of [naam 4] (consultant) who as you know is currently leading the business carve out from [naam 5] and in the interim (probable long term) directing the Smart Carriers operations and developing a change in strategic direction. Some back ground information most of which you will obviously be aware of but now I need to officially document in the pages below.

February 1 st 2014. After several email communications to try and arrange time for contract signature, I was contacted by [naam 3] assistant [naam 8] to meet with [naam 3] at Schiphol office to review the Employment Contract. February; 9th I met with [naam 3]. We reviewed my terms once again and once again he explained about the Middie East and North America being a high priority of his, I reiterated that as C.O.O I would expect nothing less than to support all operational requirements and the travelling was not a problem for me. He advised me to contact [naam 6] (CEO Middle East) and [naam 7] (CEO North America) and ensure that within the first weeks I am planned to go to both countries to support them, I agreed. [naam 3] then presented to me a draft contract and explained that this would be the version for signature if it is ok with me. I went through the contract and expressed some concerns I had, mainly, that my future title was not in line as it stated Business Development director and not Chief Operating Officer. Termination period was not stated at 6 months, Bonus of 35K (Midpoint 20-50K) euro was missing, Company car I had requested (Hybrid for lower tax) was not stipulated and I asked for written confirmation that I would receive in 2014 the compensation of 20k as promised. I also mentioned that there were several references to Dutch civil law and other union documents that were not present for me to review, [naam 3] promised me to fix it and that [naam 9] (company legal counsel) would resolve it and that I should meet with him to discuss all open points. [naam 3] then explained that there were some delays in removing / redistributing the current C.O.O which is why they had written Business Development Director. As you know and strongly disagreed with at the time) [naam 3] advised for me to take the interim role of Business Development Director focusing on but not limited to the MiddIe East and North America operations. He advised that until the current C.O.O was redistributed it should be kept quiet internally and that to be patient as it will take some months, I agreed to this but stated that I wanted it written in my contract.

May 2014. I approached [naam 3] and asked when the contract would be finalised. He looked surprised and said he did not know It was not fixed, he told me to leave it with him. I also mentioned that I had not been compensated the sign on bonus in April.

I contacted yourself [naam 2] after this meeting and expressed concern again, you advised me to be patient and that [naam 3] works in this way, you reassured me I would be C.O.O within Europe in some months and that [naam 3] was delaying the process of removal of the current person in this time due to financial complications. I expressed concern again related to the short term sign on bonus not being recelved and my contract still having many pending items, you were surprised I did not receive it already or that my contract was not fixed still but advised me you would take it up with [naam 3] ([naam 3]).

Since March on numerous occasions I have been told by [naam 3] and indeed yourself to be patient for some months whilst the current C.O.O was removed from his position and I would then be installed with immediate effect.

I am more than happy to continue to work with you [naam 2] but I feel now that if [naam 4] does take control of the company I will be removed from the company within some weeks as [naam 4] has clearly expressed his future plans about my salary, my role and my future positioning given the ongoing restructuring plan and budget for doing so, something I feel unfair given the history of Smart Carriers approachlng me to join the company, so I feel that this strategy will only end in a bad way which is something I strongly want to avoid.”
